13. Notice
All notices, demands, or communications required or permitted to be given under this Agreement shall be in writing and shall be deemed duly served when delivered personally, sent via registered post with acknowledgment due, dispatched through a recognized courier service, or transmitted via electronic mail to the respective party's designated contact details. Notices sent via email shall be deemed received upon successful transmission, provided that no delivery failure notification is received. Notices sent by registered post or courier shall be deemed received within five (5) business days from the date of dispatch. Each party shall ensure that its contact details remain updated and shall notify the other party of any changes in writing at least seven (7) days in advance. In case of legal notices concerning breach, termination, or disputes, such communication must be sent to the legal department of Way2Reach at its principal place of business i.e. E-313, Siddhraj Z Square, Opp. The Landmark Kudasan, Gandhinagar, Gujarat-38421. The provisions of this clause shall survive the termination of this Agreement and shall remain binding upon the parties.
14. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes, claims, or controversies arising out of or in connection with this Agreement, including any questions regarding its existence, validity, interpretation, or enforcement, shall be subject to the exclusive jurisdiction of the courts located in Gandhinagar, Gujarat. The parties expressly waive any objections based on venue or inconvenient forum and agree to submit to the personal jurisdiction of such courts.
Nothing in this clause shall preclude either party from seeking interim or injunctive relief before any competent court to protect its rights and interests. The parties further agree that, where applicable, alternative dispute resolution mechanisms such as mediation or arbitration may be pursued before initiating formal legal proceedings.
